Scan32.Exe

What the hell is this file? For the past few months I have fought with this stupid thing. I will be doing my normal think on the computer..such as looking at message boards, or chatting it up on a messenger service, or something like that and then all of a sudden I notice the little orange light on my computer is turning on and off and I hear a grinding sound (meaning something heavy is working)..and then all of a sudden everything I do takes like 10x+ longer than normal. I do CTRL+ALT+DEL and I see "Scan32.Exe" taking every piece of available power out of my computer. So I close the stupid file and everything works perfectly again. 20 minutes later same stuff happens, I CAD it and Scan32.Exe is back up and running again draining the computer.
My scanner is off and unplugged, my virus scanner is turned off, and all kinds of other stuff is turned off and this stupid ass program keeps showing up draining the computer.
I know it is not a virus or anything..I searched online for it..I did a virus scan..I ran adaware/spybot and didn't come up with anything.
Just out of nowhere this freaking program shows up and starts killing my computer speed (which isn't all that great already [p2 1ghz]). I don't want to just delete the program and I am doing fine with just shutting down the program whenever it pops up..I just want to know what keep making it pop up like it does and if there is a way to tell it to stop.
